By accessing or using Zyaku, you agree to be bound by these Terms and Conditions. Please read them carefully before using the platform. These terms govern your use of all Zyaku services, including our website, mobile applications, AI features, creator tools, and any related services.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Zyaku platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and Community Guidelines. If you do not agree to any provision of these terms, you must immediately discontinue use of the platform.

These terms constitute a legally binding agreement between you and Zyaku. Your continued use of the platform after any modifications to these terms constitutes your acceptance of the revised terms. We encourage you to review these terms periodically to stay informed of any updates.

2. User Accounts

To access most features of Zyaku, you must create an account. By registering, you agree to the following conditions:

• You must be at least 13 years of age to create an account. Users between 13 and 17 must have parental or guardian consent to use the platform. Zyaku reserves the right to request proof of age at any time.
• You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You must not share your login credentials with any third party.
• You must provide accurate, current, and complete information during registration and keep your profile information up to date at all times. Providing false or misleading information may result in immediate account termination.
• Each individual may maintain only one personal account. Operating multiple accounts, sockpuppet accounts, or accounts created to evade bans or restrictions is strictly prohibited and grounds for permanent suspension.
• You are responsible for all activities that occur under your account. You must notify Zyaku immediately at support@zyaku.com if you suspect any unauthorized access or use of your account.
• Zyaku reserves the right to reclaim usernames that are inactive for extended periods, infringe on trademarks, or violate our naming policies.

3. User-Generated Content Rules

Zyaku is a platform built on user expression. The following rules govern the content you create and share:

• You retain full ownership of the original content you create and post on Zyaku. Creating and sharing content does not transfer your intellectual property rights to Zyaku.
• By posting content on Zyaku, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your content in connection with operating, promoting, and improving the Zyaku platform and its services.
• You are solely responsible for all content you post, upload, share, or transmit through the platform. This includes text, images, videos, audio, comics, links, and any other media.
• Content must not violate any applicable local, national, or international laws or regulations. You must have the legal right to share any content you post.
• Content must not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
• Zyaku reserves the right to review, moderate, and remove any content that violates these terms, our Community Guidelines, or applicable law, at our sole discretion and without prior notice.
• Deleted content may persist in backup systems for a reasonable period but will not be publicly accessible after deletion.

4. Free Speech Policy

Zyaku is committed to fostering an environment where free expression thrives. We believe that open discourse, diverse viewpoints, and authentic conversation are essential to a healthy platform. Our approach to content moderation balances freedom of expression with community safety.

What is protected:

• Political opinions, commentary, and discourse across the full spectrum of viewpoints, regardless of popularity or controversy.
• Religious expression, spiritual discussion, and respectful theological debate.
• Artistic expression, satire, parody, and creative works that push boundaries or challenge norms.
• Criticism of public figures, institutions, governments, corporations, and organizations.
• Controversial or unpopular opinions expressed in good faith, including viewpoints that may be considered unconventional or dissenting.
• Whistleblowing, investigative reporting, and sharing of information in the public interest.

What is not protected:

• Direct threats of violence or incitement to imminent unlawful action against specific individuals or identifiable groups.
• Content that sexually exploits or endangers minors in any way, including imagery, solicitation, or grooming behavior.
• Doxxing, which includes sharing private personal information (home addresses, phone numbers, financial details) of individuals without their consent with intent to harass or endanger.
• Coordinated harassment campaigns, targeted bullying, or sustained abuse directed at specific users.
• Content that facilitates or promotes terrorism, human trafficking, or other serious criminal enterprises.
• Spam, deceptive practices, scams, phishing attempts, and fraudulent schemes designed to deceive or exploit users.
• Non-consensual intimate imagery or revenge pornography.

Zyaku employs a combination of AI-powered moderation tools and human review to enforce these policies. We strive for transparency in our moderation decisions and provide appeal mechanisms for users who believe their content was wrongfully removed.

5. AI-Generated Content Guidelines

Zyaku integrates advanced AI capabilities through a dual-model system powered by OpenAI (GPT models) and Anthropic (Claude models). Users can switch between AI models in real-time through the Zyaku AI interface. The following terms govern your use of AI features:

AI Capabilities:

• Conversational AI chat supporting 15+ languages with real-time model switching between GPT and Claude.
• Content generation including captions, blog posts, video scripts, image prompts, hashtag suggestions, and creative writing assistance.
• AI-powered content moderation, smart search, trend analysis, and personalized feed curation.

Accuracy and Disclaimers:

• AI-generated content may contain inaccuracies, outdated information, or errors. Zyaku does not guarantee the accuracy, completeness, or reliability of any AI-generated output.
• You are solely responsible for reviewing, verifying, and fact-checking any AI-generated content before publishing, sharing, or acting upon it.
• AI features are provided "as is" without any warranty of accuracy, fitness for a particular purpose, or suitability for professional, medical, legal, or financial advice.
• AI-generated content should be clearly attributed or disclosed as AI-assisted when shared publicly, especially in contexts where authenticity matters.

Prohibited AI Uses:

• Using AI features to generate harmful, threatening, abusive, defamatory, misleading, or illegal content.
• Attempting to jailbreak, bypass safety filters, or manipulate AI models into producing restricted or harmful outputs.
• Reverse engineering, extracting, reproducing, or attempting to discover system prompts, model weights, training data, or proprietary configurations of either AI model.
• Using AI to generate deepfakes, impersonate real individuals, create non-consensual intimate content, or produce content that exploits minors.
• Automating AI requests through scripts, bots, or third-party tools in ways that circumvent rate limits or abuse the service.
• Using AI outputs to train competing models, build derivative AI products, or for any commercial use outside the Zyaku platform without explicit written permission.

Plan-Based Rate Limits:

• Free Plan: 15 AI requests per day across all models.
• Basic Plan: 50 AI requests per day with access to standard model features.
• Pro Plan: 200 AI requests per day with priority processing and access to advanced features.
• Enterprise Plan: Unlimited AI requests with dedicated support, custom model tuning options, and SLA guarantees.

Rate limits reset daily at midnight UTC. Unused requests do not roll over to subsequent days. Zyaku reserves the right to adjust rate limits with reasonable notice to users.

Model Availability:

AI model availability is dependent on the operational status of third-party providers (OpenAI and Anthropic). Zyaku does not guarantee continuous availability of any specific AI model. Models, features, and capabilities may change, be updated, or become temporarily unavailable without prior notice due to provider maintenance, policy changes, or technical issues.

6. Comic & Animated Content Policy

Zyaku provides a dedicated platform for comic creators and animated storytelling. The following policies govern comic and animated content:

• Zyaku supports multiple content formats including static comics (single panels, multi-page strips, and full chapters), motion comics with parallax effects and audio integration, and short animated videos up to 60 seconds in length.
• All comic and animated content must be original work created by you, or you must hold the necessary rights, licenses, or permissions to publish and distribute the content on Zyaku.
• AI-assisted comic creation is permitted. Creators may use Zyaku's dual AI engine or external AI tools to generate panels, backgrounds, layouts, dialogue, or other elements. AI-assisted content must comply with all other content policies and should be disclosed as AI-assisted when a substantial portion of the visual or narrative content is AI-generated.
• Creators may publish comics and animated content as free (accessible to all users) or premium (accessible only to paying subscribers or through pay-per-read purchases). Pricing and access tiers are managed through the Zyaku creator dashboard.
• All comic and animated content must comply with applicable copyright and intellectual property laws. Fan art and derivative works based on existing intellectual properties must comply with fair use principles and the rights holder's policies. Zyaku will remove content upon valid copyright complaints.
• NSFW (Not Safe For Work) content, including mature themes, graphic violence, or sexual content, must be properly labeled with the appropriate content rating and placed behind age-restricted gates. Failure to properly label mature content will result in content removal and potential account action.
• Content depicting illegal activities, exploitation of minors, or non-consensual acts is strictly prohibited regardless of artistic context or labeling.
• Creators retain full ownership of their original comic and animated works published on Zyaku, subject to the content license granted under Section 3 of these terms.

7. Premium Content & Subscription Rules

Zyaku offers premium subscription tiers that unlock enhanced features and capabilities. By subscribing to any premium plan, you agree to the following:

• Premium tiers include Basic, Pro, and Enterprise plans, each offering progressively enhanced features such as increased AI request limits, premium verification badges, advanced analytics, priority support, and access to exclusive creator tools.
• All subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected billing cycle) through our payment processor, Stripe. Prices are displayed in your local currency where available.
• Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate at each renewal. Zyaku will send a reminder notification before each renewal.
• You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to premium features until the end of your current billing period. No partial refunds are provided for unused portions of a billing cycle.
• Refund requests are evaluated on a case-by-case basis. Refunds may be granted within 7 days of initial purchase if you have not substantially used premium features. Refunds for subscription renewals are generally not provided unless required by applicable law or in cases of billing errors.
• Zyaku reserves the right to modify subscription pricing, features, or tier structures with at least 30 days notice to existing subscribers. Price changes will take effect at your next billing cycle following the notice period.
• Free tier users have access to core platform features with standard usage limits. Premium features may be previewed or offered on a trial basis at Zyaku's discretion.

8. Intellectual Property Protection

Zyaku respects intellectual property rights and expects all users to do the same.

• The Zyaku name, logo, brand identity, visual design, and all related trademarks, service marks, and trade dress are the exclusive property of Zyaku. You may not use, reproduce, or display our trademarks without prior written permission, except as expressly permitted for linking or sharing purposes.
• The Zyaku platform, including its software, algorithms, user interface, design elements, and proprietary technology, is protected by copyright, patent, trade secret, and other intellectual property laws.
• Zyaku complies with the Digital Millennium Copyright Act (DMCA) and responds to valid takedown notices from rights holders. If you believe your copyrighted work has been infringed on Zyaku, submit a DMCA takedown notice to our designated copyright agent at copyright@zyaku.com with the following information: identification of the copyrighted work, the infringing material and its location on Zyaku, your contact information, a statement of good faith belief, and a statement under penalty of perjury that the information is accurate.
• Upon receiving a valid DMCA takedown notice, Zyaku will promptly remove or disable access to the allegedly infringing content, notify the user who posted the content, and provide them with information about filing a counter-notice.
• If you believe your content was wrongfully removed due to a DMCA takedown, you may submit a counter-notice to copyright@zyaku.com. Your counter-notice must include identification of the removed material, a statement under penalty of perjury that the removal was a mistake or misidentification, your contact information, and consent to the jurisdiction of the federal court in your district.
• Repeat infringers will have their accounts terminated in accordance with the DMCA. Zyaku maintains a policy of terminating accounts of users who are found to repeatedly infringe copyrights.

9. Creator Ownership Rights

Zyaku is built to empower creators. We believe creators should maintain control over their work:

• Creators retain full intellectual property ownership of all original content they create and publish on Zyaku. Posting content on the platform does not transfer ownership to Zyaku.
• The license you grant to Zyaku (as described in Section 3) is limited to operating, displaying, distributing, and promoting your content within and in connection with the Zyaku platform. This license terminates when you delete your content from the platform, subject to reasonable technical delays and backup retention periods.
• Revenue generated from your premium content, subscriptions, tips, and marketplace sales is shared between you and Zyaku according to the revenue sharing terms outlined in Section 10. Zyaku provides transparent earnings dashboards so you can track your revenue in real time.
• You are free to publish your content on other platforms simultaneously. Zyaku does not require exclusivity for any content unless you voluntarily enter into a separate exclusivity agreement. Your content is portable and you maintain the right to distribute it elsewhere.
• If you choose to delete your account, you may request an export of your content data before account deletion. Zyaku will provide your content in a standard, portable format within a reasonable timeframe upon request.
• Zyaku will not use your content to train AI models, sell to third parties, or exploit commercially outside of the platform's normal operation without your explicit opt-in consent.

10. Monetization Rules

Zyaku provides built-in monetization tools for eligible creators. The following rules govern monetization on the platform:

• Revenue sharing: Creators receive 80% of net revenue from premium subscriptions, pay-per-read content, and marketplace sales. Zyaku retains 20% as a platform fee to cover payment processing, infrastructure, and platform development costs. Tips sent directly to creators are subject to a 90/10 split (90% to creator, 10% platform fee).
• Payment processing is handled securely through Stripe. Creators must connect a valid Stripe account or provide accurate payment information to receive earnings. Zyaku is not responsible for payment delays caused by third-party payment processors.
• You are solely responsible for reporting and paying all applicable taxes on income earned through Zyaku. Zyaku may be required to collect tax information and report earnings to tax authorities as required by law. Creators in applicable jurisdictions may receive tax forms (such as 1099 forms in the United States) for earnings exceeding reporting thresholds.
• Prohibited monetization practices include: selling counterfeit or stolen digital goods, using deceptive pricing or misleading product descriptions, selling access to content that violates these terms or applicable law, engaging in money laundering or fraudulent transactions, and artificially inflating engagement metrics or subscription numbers.
• Minimum withdrawal threshold is $25 USD. Earnings below this threshold will accumulate until the minimum is met. Withdrawals are processed on a monthly basis, with payouts initiated within 14 business days of the end of each calendar month.
• Zyaku reserves the right to withhold, freeze, or claw back earnings derived from fraudulent activity, terms violations, chargebacks, or content that is subsequently found to violate these terms or applicable law.
• Monetization eligibility may require meeting certain criteria including account age, content quality, community standing, and compliance history. Zyaku reserves the right to revoke monetization privileges for accounts that violate platform policies.

11. Termination & Suspension Policy

Zyaku reserves the right to enforce these terms through account actions ranging from warnings to permanent termination:

Grounds for Suspension or Termination:

• Violation of any provision of these Terms and Conditions, Privacy Policy, or Community Guidelines.
• Posting content that is illegal, harmful, threatening, or that endangers other users or the public.
• Engaging in harassment, coordinated abuse, doxxing, or targeted campaigns against other users.
• Operating multiple accounts, ban evasion, or identity fraud.
• Engaging in spam, scams, phishing, or other deceptive practices.
• Abusing AI features, including jailbreaking attempts, rate limit circumvention, or using AI for prohibited purposes.
• Infringing on intellectual property rights, including repeated DMCA violations.
• Any activity that threatens the security, integrity, or availability of the Zyaku platform.

Appeal Process:

• Users who receive a suspension or termination notice may submit an appeal within 30 days of the action by emailing appeals@zyaku.com with their username, a description of the issue, and any relevant context or evidence.
• Appeals are reviewed by a dedicated trust and safety team within 10 business days. During the review period, the account action remains in effect.
• Zyaku will provide a written explanation of the appeal decision. Decisions on appeals are final, except in cases where new material evidence is presented.

Data Retention After Termination:

• Upon account termination, your public profile and content will be removed from the platform within 30 days.
• Zyaku may retain certain account data (such as transaction records, moderation logs, and compliance records) for up to 3 years after termination as required by law or legitimate business interests.
• Anonymized and aggregated data derived from your usage may be retained indefinitely for analytical and platform improvement purposes.

Voluntary Account Deletion:

• You may delete your account at any time through your account settings. Account deletion is permanent and cannot be undone.
• Before deleting your account, you may request a data export of your content and personal information. Allow up to 30 days for data export processing.
• Outstanding earnings will be paid out according to the standard payout schedule, provided the minimum withdrawal threshold has been met and there are no outstanding disputes or investigations.
• Active subscriptions will be cancelled upon account deletion. No refunds are provided for the remaining portion of any prepaid subscription period.

12. Disclaimer of Warranties

Zyaku and all associated services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Zyaku disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Zyaku does not warrant that the platform will be uninterrupted, timely, secure, or error-free; that the results obtained from the use of the platform will be accurate or reliable; that any errors in the platform will be corrected; or that the platform will meet your specific requirements or expectations.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Zyaku, its officers, directors, employees, agents, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, data, revenue, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use the platform.

In no event shall Zyaku's total aggregate liability for all claims arising from or related to these terms or your use of the platform exceed the greater of (a) the amount you have paid to Zyaku in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Changes to Terms

Zyaku reserves the right to modify, update, or replace these Terms and Conditions at any time. When we make material changes, we will notify users through prominent in-app notifications, email to the address associated with your account, and/or a banner on the platform at least 14 days before the changes take effect.

Your continued use of the Zyaku platform after the effective date of any revised terms constitutes your acceptance of and agreement to the updated terms. If you do not agree with the revised terms, you must stop using the platform and may delete your account.

The "Effective Date" at the top of this document indicates when these terms were last updated. We encourage you to review these terms periodically.

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising out of or relating to these terms or your use of the Zyaku platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, unless you opt out of arbitration within 30 days of account creation by sending written notice to legal@zyaku.com.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and Zyaku waive any right to a jury trial.

Nothing in these terms shall prevent Zyaku from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent imminent harm.
